VSJ Ventures LTD

VSJ Ventures LTD was incorporated under the Business Corporations Act (Ontario) on 21 April 2023, with corporation number 1000512821. It is a privately held investment holding company, headquartered in Toronto, that invests in long-duration senior life settlement policies and in shorter-duration, cash-flow-positive SME loan-backed notes and trade receivables-backed notes. The Company acts as issuer and programme manager, and applies institutional capital-markets architecture to assets that sit outside conventional bank-financing channels.

In February 2024 the Company issued its first Senior Secured Medium-Term Notes, now admitted to trading in Frankfurt, Stuttgart and Vienna. Egan-Jones Ratings Company assigned an A- rating to the Notes and the Company on 11 January 2024, and confirmed it in 2024, 2025 and March 2026.

The first issue establishes the note programme rather than defining it. The Company is built on a horizon of five to ten years and intends to follow with further issues, including longer-dated notes of up to ten years, so that long-duration assets are matched by long-duration funding.

Vishal Singh Jain

Vishal Singh Jain is the Founder and Director of VSJ Ventures LTD, an investment holding company and principal fixed-income issuer active across secured credit, commodities, alternative assets, and special situations.

At VSJ Ventures LTD, he led the establishment of the firm's hybrid private-placement model and Senior Secured Medium-Term Note programme, including a 10.25% Senior Secured Note due 2029. Under his direction, the programme received an A- rating from Egan-Jones Ratings Company and was structured around defined collateral controls, insurance arrangements, international clearing and settlement infrastructure, and institutional fixed-income distribution.

Through VSJ Holdings LTD, Mr. Jain managed family capital across public and private markets, pursuing special situations and asset-led opportunities. This experience highlighted a recurring gap between asset value, conventional bankability, and access to institutional capital, helping shape the fixed-income framework later developed at VSJ Ventures LTD. Earlier, he traded physical metals with Metal Trading SAS and Greenwich Metals Inc., worked in institutional sales with F.J. Elsner Trading, and spent more than a decade in the maritime industry, qualifying as a Merchant Marine Captain and later working as a marine surveyor.

Mr. Jain remains directly involved in investment and structuring decisions at VSJ Ventures LTD. His approach places particular emphasis on credit quality, collateral coverage, cash-flow visibility, counterparty strength, structural protection, and enforceability.
